1. The agreement

These terms apply when you subscribe to any software supplied by XSoft.pk. A written quotation and invoice, together with these terms, form the agreement between XSoft.pk and the subscribing organisation. Where a signed contract exists, that contract takes precedence.

2. Subscription and setup

Software is supplied on a monthly subscription, billed in advance in Pakistani Rupees.
A one-time setup fee covers configuration, data import, user creation and training, and is billed before go-live.
Published prices are the starting point; quotations for multi-module or multi-branch deployments are negotiable and confirmed in writing.
Prices may be revised with at least thirty days' written notice. Existing subscriptions are not repriced mid-term without consent.

3. Payment

Invoices are payable within the period stated on the invoice. Where payment is overdue, access may be suspended after written reminder, and reactivated once dues are cleared. Hosting, backup and support are included in the subscription while it is active; they are not available on a suspended account.

4. Hosting, availability and backups

XSoft.pk hosts the software on managed cloud infrastructure and takes automated daily backups. We target continuous availability, but do not warrant uninterrupted service: maintenance windows, upstream provider incidents, internet outages at the client's premises and force majeure events may interrupt access. Scheduled maintenance is communicated in advance where possible.

5. Client obligations

Provide accurate setup data and nominate a responsible coordinator for the implementation.
Keep user credentials confidential and request removal of access when staff leave.
Use the software in accordance with Pakistani law, including tax, labour and health-data requirements applicable to your sector.
Do not attempt to copy, resell, reverse engineer or sublicense the software.

6. Data ownership

All business records entered into the software belong to the subscribing organisation. XSoft.pk holds and processes that data solely to provide the service. On request, records are exported in Excel or PDF. After termination, data is retained for a short handover period and then deleted, except where retention is required by law.

7. Custom development

Custom modules and integrations are quoted separately with a written scope. Changes to that scope are quoted again before work continues. Unless otherwise agreed, custom code developed for a client is licensed for use within that client's subscription and is not transferred as source code.

8. Support

Support covers questions, configuration help and correction of defects in the supplied software, during Monday to Saturday, 9:00am to 7:00pm Pakistan time, by phone, WhatsApp and email. Support does not cover client hardware, internet connectivity, third-party devices (such as biometric machines or printers) beyond their documented export formats, or data entry performed on the client's behalf.

9. Limitation of liability

XSoft.pk's liability for any claim arising from the service is limited to the subscription fees paid in the twelve months preceding the claim. We are not liable for indirect or consequential loss, including loss of profit, loss of business or loss of data beyond restoring the most recent available backup.

10. Cancellation

A subscription may be cancelled with thirty days' written notice. Setup fees are non-refundable once implementation has begun. On cancellation, access continues until the end of the paid period, and data export is provided on request.

11. Governing law

These terms are governed by the laws of the Islamic Republic of Pakistan, and disputes fall under the jurisdiction of the courts of Lahore.
